Corporate ghost structure
 

Suspended due to linked accounts
I am registering new LLC and attorney suggests Delaware registration
Address, ip, phone,bank account in NY
Will different state of registration raise an alarm? And cause a suspension.

Not sure but I do know the reason many suggest Delware is because the cost to Inc and also the very lax protection laws.

Not sure as a seller they are things you need to worry about?

I think your attorney has the wrong idea about what you're trying to accomplish? This will create a tax nightmare for you, rather than making it easier, as far as I know, because you will probably still be liable for tax in your local state, and not sure about Delaware. Not like Amazon is going to look you up and chase you down unless you have done something really awful.

Different state of registration in of itself will not cause issue for Amazon - follow ghost principles.

The reason for Delaware is that in a NY LLC you need to publish and you need to identify a principal of the Company. Plus, NY LLC still has a biennial statement that requires disclosure of managers/managing members. I just don't want to set up a corp where Amazon may have access to corporate ownership. I was suspended for owing Amazon a lot of $$ as previously corp when out of business.

Check out WY for ease of use and low cost. Lower cost than Delaware unless you expect to be in the fortune 500.

Follow your accountant and Attorneys suggestions. They are on the right track IMO.

A new Corp/LLC does not show the owners unless researched. Amazon would have no idea who owns your company, same as you and I dont know the millions of owners of Exxon or eBay etc..

If you truly want to be anonymous, WY still has bearer shares and shelved corporations. I can not see why you would need this for amazon/ebay or any business really. Usually it is from hiding ownership for complete privacy, even from creditors, IRS and typically has a negative cogitation, hence only one state has such an entity in today's world.

So maybe if someone owns a company in an industry they are not so proud of or have a very real reason to remain incognito twice removed would make sense.
