I don't know every benefit of these two states, but I do know:
Delaware has a very favorable tax structure for corporations, which is why a lot of corporations are Delaware corporations.
Wyoming has extremely favorable privacy laws regarding LLC's. If you want to shield the true owner of an LLC, Wyoming is probably the best place to do that.
So where are you better off forming an LLC to sell on Amazon or eBay? Probably your home state. Because Amazon and eBay have not been looking up owner or partner information. That is not to say they couldn't do so in the future, but it would be a huge manual undertaking and it would cost them lots of money.
If you have a corporation or an LLC outside of your home state, you will have to pay for a registered agent who will accept correspondence from the State as well as act as your agent to receive service of legal process, should you be sued. A regsitered agent must be an adult who resides in the state the corporation or LLC is located in.
The prices for registered agents varies widely, but you can expect for pay $300 per year at minimum for one. If you have an LLC in your home state, then you can be the registered agent, or name any other adult inside the state to be the registered agent for you. Some people use their wives or their relatives for this.
Incorporation fees and LLC filing fees vary by state and can be low, like Indiana's $75 to file online for an LLC, to California's $800 MINIMUM fee which is based on the value of the company's assets. If you happen to be in California, be VERY CAREFUL and ask an attorney if you can set up an LLC in another state. Because California has been aggressively pursuing California Residents who set up LLC's out of the state to avoid the $800 fee. Basically, you would have to prove there was another reason that you set up outside the state. Like maybe if the partners are all from different states.
