Default LLC Filing Fees by State

This list is up to date as far as I know. But always check with the Secretary of State in the state you wish to file in to make sure. The first number is the filing fee for an LLC. The second number is the minimum annual fee. If there is no minimum annual fee, it says "no".

Nevada is $75, no annual fee, $200 to file list of board members. They also do not publicly list the name of the owner. There and Wyoming are the cheapest and best places to open businesses, IMO. I've got several in both areas. All done online. Just use a process serving company in the area and no need for a box.

Wow, there are few places with $50 filing fee and no annual fees? Cheap!!!

Thank you for the info, very helpful! I just found a registered agent in WY for $25 per year, includes mail forwarding! I think I'm going that route, unless someone has better ideas? I just don't understand what's the $25 to $500 annual fee? I don't want to be hit with $500 annual fee for sure..

To those of you running businesses in states other than the one you live in, I'm interested but have a few questions.

At tax time, taxes would be filed in the state the business is registered in?

I guess that's my only question..

Best to choose states that have no state income tax, just filing fees such as NV or WY.

IF you need bank accounts they can be tricky to open in WY. Of course with mail forwarding you can open online.

I wanted to point something out. Just because the second number on the list above says "no" - which means there is no minimum annual fee, does not mean that there is NO annual fee! Before actually opening an LLC, you need to check with the Secretary of State's office and obtain a list of ALL of the fees involved. Make sure you understand everything, and if you are unclear on ANYTHING, ASK THEM!

Once an LLC has been set up, you have certain legal obligations and you do not want to get into a bad (and expensive) situation because there was something you did not fully understand.

Hiring a company like LegalZoom to handle everything for you may be a good idea depending on your level of knowledge and your particular circumstances. But please realize that these companies do not typically offer you any type of legal representation - they simply file forms for you and they understand the process by which these businesses are created. You can save money by doing it yourself or you could be safer hiring an ACTUAL ATTORNEY OR ACCOUNTANT to do this for you. If you DO use one of these companies make sure you understand everything - because if they screw up, it is YOU who will be legally responsible for cleaning up the mess.
